ZY Cami User Agreement
1. User Agreement Acceptance: 1.1This User Agreement (hereinafter referred to as the “Agreement") sets forth the rights and obligations entered into between you and Guilin Zhishen Information Technology Co., Ltd. (hereinafter referred to as the “Company") and offers specific information on the services provided to you by the Company via the “ZY Cami” software, as well as rules concerning your use of the ZY Cami software services. Please read this Agreement carefully before using the ZY Cami software. 1.2Your use of the ZY Cami software provided by the Company indicates your unconditional acceptance of this Agreement and any other applicable management rules published by the Company, as well as your willingness to be bound by such. You will be held solely liable in the event of any disputes arising due to your inattentive review of this Agreement and may not use failure to read grounds in a dispute. 2. Service Details: 2.1ZY Cami is a photo editing and community software provided by the company. Users may control Zhiyun hardware (including without limitation handheld PTZ products, hardware, and other physical products produced by the Company, along with the firmware included therein. Zhiyun hardware itself is not part of the services provided by the Company) via the ZY Cami App and share great photographs via the ZY Cami software. 2.2This Agreement automatically applies to any new features, including new products and services, released to enhance or upgrade the existing services and features offered by the ZY Cami software, unless otherwise expressly specified. 2.3The Company offers both free and paid services. The Company will always issue a clear prompt prior to providing paid services and will only provide such after you agree to and pay for the services based on the instructions provided in the prompt. The Company is entitled to deny you access to paid services if you refuse to pay the applicable fees. 2.4You are solely responsible for obtaining any devices necessary to use the services provided by the Company (for example, personal mobile phones or other devices required to access the Internet or mobile networks) and for paying any associated costs (for example, telephone fees and Internet access fees to access the Internet and mobile phone fees to access mobile networks). 3. User Account: 3.1You must provide authentic and valid identification information when registering with the ZY Cami software, and must update any changes to such information online in a timely manner. You will be held solely liable for any losses incurred due to the Company terminating services as a result of inconsistencies between the information you provide and the actual information, your failure to update this information, or any misleading information provided, and must hold the Company harmless from any such losses. 3.2You must understand and acknowledge that the right to use a ZY Cami account will only be granted to its original registrant. You may not transfer, donate, lend, or sell your ZY Cami account and password to a third party in any way or permit anyone other than the original registrant to use it without the Company's prior written consent. The Company is entitled to ban and delete any accounts found to be engaging in such acts. You must immediately stop any account use and operation if you are not the original registrant of the ZY Cami account you are currently using. Furthermore, the Company is entitled to return the account to the original registrant at its own discretion or at their request, and is exempt from any liability or losses arising therefrom. 3.3It is your obligation to properly store your registered account and password. The Company shall be held harmless from any losses arising out of the unauthorized use of the account or password by others through hacking, third-party acts, or your own negligence. 3.4Please immediately notify the Company if you discover any unauthorized or unusual use of your account by others and provide valid personal identity information consistent with that of the original registrant. The Company will do its utmost to help protect your rights once it has verified the personal identity information you have provided but does not guarantee that your ZY Cami account can be retrieved in this way. 3.5Your use of the ZY Cami App must be legal, and you will be held solely liable for all actions under your registered account, including any content published via the ZY Cami App, operation or control of Zhiyun hardware, and any consequences arising therefrom. Users must use the content and features offered by the app at their own discretion and must assume full liability for any risks arising from its use, including risks arising from dependence on the correctness, completeness, or usability of its content and features. The Company is exempt from any liability and will be held harmless from any losses caused by users. 3.6Any information you publish via the ZY Cami App is deemed as public information that may be acquired by any third party via this platform. The publication of information indicates that users have agreed that said information is now public information and that they are solely liable for any legal consequences arising therefrom. Any user who is not willing to share such information with third parties may choose to not publish the information via the ZY Cami App. 4. Rules for Users: 4.1You will be held accountable for your use of the services provided by the Company and must warrant that you will comply with the following principles throughout your use of such: （1）Compliance with the law in the country/region where you are located; （2）Compliance with this Agreement and other applicable management rules published by the Company; （3）No infringement whatsoever of third party of Company legal rights; （4）ZY Cami must only be installed on legally compliant devices; （5）No use of Company services for any illegal or infringing acts, including without limitation displaying and sharing lewd, racist, vulgar, obscene, defamatory, or offensive content, or sharing hatred, discrimination, or prejudice against religious beliefs, national tradition, race, gender, and age. 4.2The Company is entitled to review and monitor your use of the services it provides. Furthermore, it is entitled to request that you correct any act it suspects of having violated the law or this Agreement based on its independent judgment, and to mitigate any possible consequences as a result of such acts by any means necessary(including without limitation altering or deleting your published or uploaded content and suspending or terminating your right to use Company services). Please be aware that any review by the Company neither imposes any liability on itself nor does it relieve you of any of your obligations. 4.3You must warrant that your use of ZY Cami software is legal and must not attempt to decompile, disassemble, or crack the software client. 4.4You must not abuse or interfere with ZY Cami software services, including without limitation using the ZY Cami software services for illegal purposes, tampering with ZY Cami software code, using Company or ZY Cami logos or text, attacking the Company's servers, or deleting, hiding, or modifying any statements related to the ZY Cami software services. 4.5Please understand and acknowledge that you must comply with social order and applicable law when using Company services to publish content (including, text, images, videos, and comments), and may not publish or upload the following content: （1）Content that violates basic principles established in the constitution of the country/region where you are located; （2）Content that violates the law, regulations, or other rules in the country/region where you are located; （3）Content that violates social order and damages the public interest; （4）Documents or information that infringe upon a third party’s legal rights, including without limitation virus software, hacking programs, and software cracks intended to bypass program registration; （5）Unauthorized articles, images, music, videos, and applications; （6）Advertisement content or links; （7）Content that violates the Company's information publication policies or infringes upon its legal rights. 4.6The Company is entitled to review any content you publish and upload and, at its discretion, may delete any such content it suspects of having violated the above conditions directly without prior notice to you. Please confirm here that reviews carried out by the Company neither impose any obligations on it nor exempt you from any of your own. 4.7You must assume sole liability in any legal disputes or for any other consequences resulting from any content you publish or upload. 4.8The Company is entitled to restrict your use of Company services at its discretion if it believes that your use of such has exceeded a reasonable scope. You must assume sole liability for any consequences or losses arising therefrom. 5. Intellectual Property Rights: 5.1Any copyright, patent right, trademark, trade secret, or other ownership related to the Company services (including without limitation ZY Cami software) are exclusively owned by the Company. You may not disclose or use the above without the Company's consent. 5.2Using the ZY Cami software does not grant you the permission to acquire or own any intellectual property rights belonging to the Company or a third party. All rights to the videos uploaded using the ZY Cami software belong to both the video authors and the Company. Please do not share, copy, adapt, modify, or use other people's videos inappropriately, including without limitation by reposting, linking to, downloading, copying, editing, modifying, changing, uploading, sharing, distributing, performing, deriving other works from or creating derivative works, slandering, or removing their technical protections. 5.3All rights for any content you generate while using the Company services will be owned by you pursuant to law. However, you must understand that by doing so you agree to grant the Company permanent, irrevocable, non-exclusive, fully-licensable, royalty free, and worldwide rights, and permission to copy, modify, adapt, publish, translate, create derivative works based on, distribute, perform, and display any content that you publish or upload for public access via the Company services (wholly or in part), as well as permission to incorporate such content into any other works, media, or technologies regardless of their form and whether they are currently available or later developed. 5.4Please immediately notify the Company upon the discovery of any content on the ZY Cami App that infringes upon your rights and provide preliminary proof that you own such rights. The Company will promptly address your complaint pursuant to law. 5.5The Company will warn or ban any user accounts found to have infringed upon your rights following its confirmation of the infringement and will take any necessary legal action to address the issue. 6. Disclaimer: 6.1Any text, images, and videos on the ZY Cami software are all owned by third-party websites or have been uploaded by users. The Company must not be held liable for the legality, accuracy, completeness, or reliability of such content in any way, nor does it provide any express or implied warranties pertaining to such, including without limitation warranties related to the ownership, quality, non-infringement of third-party rights, or the absence of viruses. 6.2The Company will do its utmost to maintain the normal operation of the ZY Cami software, however you must assume sole liability for any risks in connection with your use of the ZY Cami software. The Company does not offer any promise or warranty against such risks and does not warrant that the services will not be interrupted, that the videos you browse will be safe, accurate, complete, legal, or reliable, or that any third party website owns the legal, valid, and complete intellectual property rights to the videos it uploads. The Company must not be held liable for any damage to or loss of your data or service interruptions. The Company will not assume any liability in the event that you are unable to use the ZY Cami software normally due to network bandwidth issues or mobile phone (or other electronic devices) hardware limitations. 6.3You will be asked to provide additional confirmation when accessing any ZY Cami software features that pose particular risks. Clicking on confirm or using any such feature indicates your understanding and acceptance of the corresponding risks. You must assume sole liability for any losses suffered due to such risks. 6.4The Company would like to particularly draw your attention to the following: the Company only provides users with upload space and search services and does not edit or modify any work or content uploaded in any way. Moreover, the Company does not permanently store, control, edit, or modify any information or content belonging to or related to any third-party marketplaces linked to in the App or the way it is expressed. Content providers are solely liable for any text, data, materials, music, images, graphics, videos, or information (hereinafter referred to as Content) they publish or upload via the Company services, regardless of whether such Content is shared publicly or privately. 7. Service Change, Interruption, and Termination: 7.1The Company services may experience interruptions or fail to meet your needs due to factors including without limitation force majeure events, computer viruses, cyber-attacks, system instabilities, your location, communication routes, or Company operational or partner changes. 7.2The Company may change, interrupt, or terminate some or all of its services at any time without notifying its users in advance. Please make sure to regularly backup any data you store on Company network services to avoid any possible losses. 7.3You must assume the above risks if you wish to use the services provided by the Company. The Company is not liable to indemnify you or any third party against any losses resulting from such risks. 8. Governing Law and Dispute Resolution: The interpretation, effectiveness, and any applicable dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China. You and the Company agree that any dispute arising from this Agreement must be resolved through amicable negotiations. In the event that negotiations fail, either Party has the right to file a lawsuit in the people's court of law where the company is located. 9. Changes and Amendments to this Agreement: The Company is entitled to amend this Agreement at any time, and will prompt any amendments on the applicable pages. Please immediately discontinue your use of the Company services if you do not agree to any amendment. Your continued use of the Company services indicates your acceptance of and willingness to comply with the amendment.
